Please read these Terms carefully. By creating a LoadAm account or using any part of our platform, you agree to be bound by these Terms of Service. If you do not agree, please do not use LoadAm. These Terms form a legal agreement between you and JADEMTECH LIMITED, the company that operates LoadAm.

1. Who We Are

LoadAm is a digital wallet and Virtual Top-Up (VTU) platform operated by JADEMTECH LIMITED, a company duly registered under the laws of the Federal Republic of Nigeria. Our platform allows registered users to fund a digital wallet and use it to purchase mobile data, airtime, electricity tokens, cable TV subscriptions, and educational PINs, all from one place, quickly and securely.

Throughout these Terms, “LoadAm,” “we,” “us,” and “our” refer to JADEMTECH LIMITED. “You” and “your” refer to the person or entity using the LoadAm platform.

2. Eligibility

To use LoadAm, you must:

  • Be at least 18 years of age, or have valid parental or guardian consent if younger
  • Provide accurate, complete, and truthful registration information
  • Not have had a LoadAm account previously suspended or permanently banned
  • Use the platform solely for lawful purposes
  • Have a valid Nigerian mobile phone number

LoadAm reserves the right to refuse service, suspend, or terminate any account at its reasonable discretion, with or without prior notice where required for security or compliance reasons.

3. Account Registration and Security

When you register for LoadAm, you create a personal account protected by a password and a 4-digit transaction PIN. You are responsible for:

  • Keeping your password and transaction PIN strictly confidential
  • All activity that occurs under your account, whether authorised by you or not
  • Keeping your registered email address and phone number current and accurate
  • Contacting us immediately at support@loadam.ng if you suspect unauthorised access to your account

LoadAm will never ask for your password or full transaction PIN by email, WhatsApp, phone call, or any other channel. If anyone claims to be from LoadAm and asks for these details, do not share them and report it to us immediately.

We shall not be liable for losses resulting from compromised passwords, phishing attacks, user negligence, or unauthorised access that occurs through no fault of LoadAm.

4. Account Activity and Dormancy

4.1 New Account Activation Window

Any newly created LoadAm account that has not completed at least one successful transaction within 30 days of registration may be automatically deactivated. This measure helps us prevent spam and fraudulent account creation. Deactivated accounts may require additional verification before reactivation.

4.2 Dormant Account Policy

LoadAm reserves the right to permanently close any account that shows no activity (no transactions, no logins, no wallet activity) for a continuous period of 90 days or more.

Before permanently closing a dormant account that holds a positive wallet balance, LoadAm will make reasonable efforts to notify you at your registered email address. If no response is received within 14 days of notification, the account may be closed and any remaining wallet balance handled in accordance with applicable Nigerian law and our regulatory obligations.

Permanently closed accounts may lose all associated data, transaction history, and other account information.

5. Wallet and Funds

Your LoadAm wallet is a prepaid digital wallet designed for purchasing utility and VTU services on the platform. It is not a bank account, savings vehicle, or investment product.

We advise you to:

  • Fund your wallet with amounts you intend to use promptly
  • Avoid storing unnecessarily large balances on the platform
  • Monitor your wallet balance and transaction history regularly

LoadAm reserves the right to place temporary restrictions on wallets for compliance reviews, security investigations, or suspicious activity monitoring. Where a restriction is placed, we will notify you as soon as it is reasonably possible to do so, unless doing so would compromise an active investigation.

LoadAm shall not be liable for wallet losses arising from user negligence, dormant accounts, regulatory restrictions, or security incidents beyond our reasonable control.

6. Transactions and Service Availability

LoadAm processes transactions through licensed third-party payment and VTU service providers. While we strive to ensure fast, reliable service, we do not guarantee:

  • Continuous, uninterrupted platform availability
  • Error-free processing of every transaction
  • Instant delivery for all service types
  • Availability of any specific third-party service at any given time

Transaction delays or failures may occur due to banking network issues, telecom provider outages, scheduled maintenance, compliance checks, or third-party failures beyond our control.

6.1 Failed Transactions and Refunds

If a transaction is debited from your wallet but the service is not delivered:

  • Automatic refunds: Where our system receives a clear failure response from the service provider, the debited amount will be automatically refunded to your LoadAm wallet, typically within minutes.
  • Pending transactions:Some transactions may enter a “processing” state where delivery cannot be immediately confirmed. These are flagged for manual review by our team. We aim to resolve all pending transactions within 24 hours.
  • Disputes: If you believe a transaction was incorrectly processed or that a service was not delivered despite a success confirmation, contact us at support@loadam.ng with your transaction reference number. We will investigate and respond within 48 hours.

7. Transaction Limits

LoadAm operates a tiered transaction limit system based on your account verification level:

Tier 1: Basic (Name, Phone Number, Email)

  • Maximum single transaction: ₦50,000
  • Maximum daily transaction value: ₦50,000
  • Maximum cumulative wallet balance: ₦200,000

Tier 2: Verified (Tier 1 + Automated BVN Verification)

  • Maximum single transaction: ₦100,000
  • Maximum daily transaction value: ₦300,000
  • Maximum cumulative wallet balance: ₦300,000

Tier 2 verification is completed automatically by matching your BVN, bank account number, and name against bank records. Accounts that reached Tier 2 previously through manual NIN verification retain their Tier 2 status and limits.

Airtime purchases are additionally subject to the following limits as part of our anti-fraud policy:

  • Tier 1 (unverified) users: maximum of ₦4,999 per airtime transaction
  • Tier 2 (verified) users: maximum of ₦4,999 per airtime transaction

These limits may be updated from time to time. You will be notified of any material changes.

8. Prohibited Activities

You must not use LoadAm for any of the following:

  • Money laundering, terrorism financing, or any other financial crime
  • Fraudulent transactions of any kind
  • Chargeback abuse or payment reversal fraud
  • Creating, submitting, or using fake payment proofs or false transaction claims
  • Initiating fake deposits or fraudulent transfer notifications
  • Attempting to circumvent LoadAm’s security systems, transaction limits, or KYC requirements
  • Identity theft, impersonation, or submission of false identity documents
  • Using stolen bank accounts, cards, or payment credentials
  • Creating multiple accounts to abuse transaction limits
  • Any activity that violates Nigerian law or applicable regulations

Violation of any of these prohibitions may result in immediate account suspension, permanent termination, and referral to law enforcement or financial regulatory authorities.

9. Fraud Detection, Account Suspension, and Termination

LoadAm operates active fraud detection and compliance monitoring systems. We reserve the right to:

  • Freeze wallet balances pending investigation
  • Suspend accounts temporarily while a review is conducted
  • Block specific transactions that appear suspicious
  • Permanently terminate accounts found to have engaged in fraud or prohibited activity
  • Report suspected illegal activity to the NFIU, EFCC, CBN, or other competent authorities

These actions may be taken without prior notice where necessary for security or compliance purposes.

Important: Wallet funds on termination. Where an account is permanently terminated due to confirmed fraudulent activity, LoadAm reserves the right to withhold wallet funds pending investigation and regulatory guidance. Where an account is terminated for reasons other than confirmed fraud, any remaining wallet balance will be refunded to the user’s verified bank account after deduction of any outstanding fees, subject to successful identity verification. LoadAm will not release funds to unverified third parties.

10. Identity Verification (KYC)

LoadAm may request identity verification at any time, including when you request higher transaction limits, when unusual activity is detected on your account, or as required by applicable regulation. Verification documents may include:

  • Government-issued photo identification (National ID, Voter’s Card, Driver’s Licence, International Passport)
  • Bank Verification Number (BVN)
  • National Identification Number (NIN)

Failure to provide requested verification within a reasonable timeframe may result in restricted account access or termination. All verification data is handled in accordance with our Privacy Policy and the Nigeria Data Protection Act 2023.

11. Dispute Resolution

11.1 Internal Complaints Process

If you have a complaint or dispute regarding any LoadAm transaction or service:

  1. Contact our support team first at support@loadam.ng with your full name, account email, transaction reference, and a clear description of the issue
  2. We will acknowledge your complaint within 24 hours and aim to resolve it within 5 business days
  3. If you are not satisfied with our resolution, you may escalate to our senior management team by clearly marking your email “Escalation Request”

11.2 External Resolution

If a dispute cannot be resolved through our internal process, it shall be subject to the jurisdiction of the competent courts of the Federal Republic of Nigeria. These Terms are governed by the laws of Nigeria.

12. Intellectual Property

All LoadAm branding, logos, software, content, graphics, platform design, and related materials are the exclusive property of JADEMTECH LIMITED. Nothing in these Terms grants you any ownership right or licence in any LoadAm intellectual property.

You may not copy, reproduce, modify, distribute, reverse-engineer, or create derivative works from any LoadAm materials without our prior written permission.

13. Limitation of Liability

To the fullest extent permitted by Nigerian law, JADEMTECH LIMITED shall not be liable for:

  • Indirect, incidental, or consequential damages of any kind
  • Loss of profits, revenue, or business opportunities
  • Losses resulting from user negligence or failure to secure account credentials
  • Service interruptions caused by third-party providers (telecom networks, payment processors, electricity distribution companies, cable TV providers)
  • Transaction delays resulting from banking networks, regulatory checks, or system maintenance
  • Losses arising from regulatory actions by competent Nigerian authorities
  • Losses arising from events completely outside our control, such as natural disasters, nationwide internet outages, or government regulatory actions

Use of the LoadAm platform is at your own risk. Our total liability to you for any claim arising from these Terms shall not exceed the total value of the specific transaction giving rise to the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless JADEMTECH LIMITED, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms
  • Your fraudulent or illegal use of the platform
  • Your infringement of any third-party rights
  • Any misuse of LoadAm services by you or through your account

15. Modifications to These Terms

JADEMTECH LIMITED reserves the right to update or modify these Terms at any time. When we make material changes, we will:

  • Update the “Last Updated” date at the top of this document
  • Send a notification to your registered email address
  • Display a prominent notice on the LoadAm platform

Your continued use of LoadAm after such notification constitutes your acceptance of the revised Terms. If you do not agree with any changes, you must stop using the platform and may request account closure by contacting us at support@loadam.ng.

16. Privacy

Your use of LoadAm is also governed by our Privacy Policy. The Privacy Policy explains how we collect, use, store, and protect your personal information in accordance with the Nigeria Data Protection Act 2023 and the NDPR 2019. By using LoadAm, you agree to the practices described in our Privacy Policy.

17. Governing Law

These Terms of Service shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from or relating to these Terms or your use of LoadAm shall be subject to the exclusive jurisdiction of the competent courts of Nigeria, without prejudice to the internal dispute resolution process described in Section 11.
